Please read these Terms of Service ("Terms") carefully before using RecipeSaint (the "Service") operated by Niangua LLC ("we", "us", or "our").
By accessing or using the Service, you agree to be bound by these Terms. If you disagree with any part of the terms, you may not access the Service.
1. Accounts
When you create an account with us, you must provide accurate, complete, and current information. You are responsible for safeguarding your password and for all activities that occur under your account.
You must notify us immediately upon becoming aware of any breach of security or unauthorized use of your account. You may not use as a username the name of another person or entity that is not lawfully available for use, or a name that is otherwise offensive, vulgar, or obscene.
2. Subscriptions
Some parts of the Service are billed on a subscription basis ("Subscription(s)"). You will be billed in advance on a recurring and periodic basis ("Billing Cycle"). Billing cycles are set on a monthly or annual basis.
At the end of each Billing Cycle, your Subscription will automatically renew under the same conditions unless you cancel it or we cancel it. You may cancel your Subscription renewal through your account settings page or by contacting us.
A valid payment method, including credit card, is required to process the payment for your Subscription. You shall provide accurate and complete billing information. By submitting such payment information, you automatically authorize us to charge all Subscription fees incurred through your account to any such payment instruments.
3. Free Trial
We may, at our sole discretion, offer a Subscription with a free trial for a limited period of time. You may be required to enter your billing information to sign up for the free trial.
If you do enter your billing information when signing up for a free trial, you will not be charged until the free trial has expired. On the last day of the free trial period, unless you cancelled your Subscription, you will be automatically charged the applicable Subscription fees.
4. Fee Changes
We reserve the right to modify Subscription fees at any time. Any Subscription fee change will become effective at the end of the then-current Billing Cycle.
We will provide you with reasonable prior notice of any change in Subscription fees to give you an opportunity to terminate your Subscription before such change becomes effective.
5. Refunds
Except when required by law, paid Subscription fees are non-refundable. If you believe you have been charged in error, contact us within 30 days of the charge.
6. Content
Our Service allows you to save recipes, create shopping lists, and store other information ("Content"). You are responsible for the Content that you save and share within the Service.
You retain any and all of your rights to any Content you submit, post, or display on or through the Service, and you are responsible for protecting those rights.
7. Your Use of the Service
You agree not to use the Service:
- In any way that violates any applicable law or regulation
- To transmit any advertising or promotional material without our prior written consent
- To impersonate or attempt to impersonate another user or person
- In any way that infringes upon the rights of others
- To engage in any conduct that restricts or inhibits anyone's use of the Service
- To introduce any viruses, trojan horses, worms, or other malicious code
8. Team/Family Accounts
If you invite others to join your team or family account, you are responsible for their use of the Service. Team members can view and modify shared content including recipes, menus, and shopping lists.
The team owner's subscription determines the features and limits available to all team members. The team owner may remove members at any time.
9. Third-Party Content
The Service may display recipes and content from third-party websites. We do not control, endorse, or assume responsibility for any third-party content. We provide links to external sites for your convenience only.
Recipe content displayed in search results is sourced from third-party websites. We do not guarantee the accuracy, safety, or quality of any recipes. Always use your own judgment when preparing food.
10. Intellectual Property
The Service and its original content (excluding Content provided by users), features, and functionality are and will remain the exclusive property of Niangua LLC. The Service is protected by copyright, trademark, and other laws.
11. Termination
We may terminate or suspend your account immediately, without prior notice or liability, for any reason, including if you breach these Terms.
Upon termination, your right to use the Service will immediately cease. If you wish to terminate your account, you may delete your account through the account settings.
12. Limitation of Liability
In no event shall Niangua LLC, nor its directors, employees, partners, agents, suppliers, or affiliates, be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from:
- Your access to or use of or inability to access or use the Service
- Any conduct or content of any third party on the Service
- Any content obtained from the Service
- Unauthorized access, use, or alteration of your transmissions or content
13. Disclaimer
Your use of the Service is at your sole risk. The Service is provided on an "AS IS" and "AS AVAILABLE" basis. The Service is provided without warranties of any kind, whether express or implied.
We do not warrant that the Service will function uninterrupted, secure, or available at any particular time or location, or that any defects or errors will be corrected.
14. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.
15. Changes
We reserve the right to modify or replace these Terms at any time. If a revision is material, we will try to provide at least 30 days notice prior to any new terms taking effect.
By continuing to access or use our Service after those revisions become effective, you agree to be bound by the revised terms.
